HTC Announces Announces Acquisition Agreement to acquire BTC BioEnergy Technologies Corp.

Regina , Saskatchewan - HTC Purenergy (“HTC”) is pleased to announce that an Agreement has been signed between HTC and BTC BioEnergy Technologies Corp. (“BTC”) in terms whereof HTC will acquire all the issued and outstanding shares of BTC, as a wholly owned subsidiary of HTC.

The acquisition of BTC will occur on the basis of two HTC Common Shares for each one BTC Common Share. 591,500 HTC Common Shares will be issuable in exchange for all of the shares of BTC. This transaction has been approved by the Board of Directors of HTC, BTC and by the TSX Venture Exchange Inc., and is conditional upon BTC shareholder approval.

BTC is a pr ivate Saskatchewan based company, established to develop renewable energy from bio-resources. BTC has unique and patentable technologies which assist in the project development and production of commercially viable bio-fuels. It has long standing relationships with United States based grain companies, grain producer co-ops, the plant genetics industry and has access to the International Test Centre, a world leader in renewable fuel research.

Don Saelhof, founding shareholder and President of BTC, is a Member of Saskatchewan Biodiesel Task Force, holds a Senate appointment at the University of Regina and is a Provincial Director of the Saskatchewan Institute of Agrologists. He obtained his Bachelor of Science degree in Agriculture (Honors Program, Soil Science) at the University of Saskatchewan. He is a business and technology commercialization executive with extensive experience in the North American bioenergy, agricultural and technology sectors, in public sector economic development and investment marketing.

The acquisition provides HTC with a company complete with infrastructure, Don Saelhof as senior executive, banking relations, branding, product research and development, and project development opportunities in the biofuel sector.

BTC is co-sponsoring a “Clean Energy Technology Chair” at the University of Regina and is completing a collaborative research agreement and patent licensing agreement.
